Terms of use
This is a legal agreement between the customer and Mekong Bridge Co., Ltd., regulating the terms of the customer’s use of software services provided by Mekong Connector. This agreement is an electronic contract between two parties.
Article 1: Terms used in the agreement
Mekong Connector: is Mekong Bridge Company Limited
Software: software provided by Mekong Connector includes online management version on the web and versions installed on computers, tablets, phones, and other support applications included with the software.
System: includes servers located at Mekong Connector’s data center, installed with system software and Mekong Connector software.
Customer: is an organization or individual who registers for a trial or pays to use a software service.
Service fee: is the fee that customers pay to Mekong Connector to maintain use of the software. The subscription fee is agreed upon and notified to the customer and the customer must pay 100% before use
Service usage period: Is the period of time the customer is granted the right to use the software service according to registration requirements and fee payment agreement with Mekong Connector.
Renewal : is Mekong Connector granting additional time to use software services to customers according to the agreement of both parties.
Article 2: Customer account
During the registration process to use the software , customers will create an account and password.
– Customers are responsible for keeping their password and account secure as well as taking full responsibility for activities related to their account.
– For each account, customers can invite company employees to join. The maximum number of employees allowed to invite depends on the customer’s registration fee.
– Customers immediately notify Mekong connector when anyone uses their account or password without permission or any security errors and ensure customers log out of their accounts after each session. Mekong connector cannot and will not be responsible for any loss, damage or other liability if the customer does not comply with this policy or due to unauthorized access to the customer’s account.
– In the event of a dispute between two or more parties regarding account ownership, customer agrees that Mekong connector will be the sole arbitrator of such dispute and Mekong connector’s decision (which may include termination or suspension of the disputed account) is final and binding on all parties.
Article 3: Protection of privacy
Mekong Connect secures all customer information and the contents of customer accounts exchanged and stored on the system. We will implement and maintain all administrative, physical and technical safeguards to protect the security and integrity of customer data.
Mekong connector commits:
– Do not modify documents created by the customer;
– Do not disclose customer data unless required by law or authorized by the customer;
– Do not access customer data except to fix technical errors or at the customer’s request.
However, Mekong connector has the right to actively or automatically access information about accounts existing on the system (including full name, email, phone number) for certain purposes, including includes (but is not limited to):
– Notify customers by Email about new features.
– Contact customers directly for technical support or other support to increase user experience.
Mekong connector reserves the right to use the customer’s name for marketing purposes or in promotional campaigns, product introductions or in conversations and exchanges with other Mekong connector customers or potential customers. different from Mekong connector. For example, Mekong connector can include customer names on a website that displays the names of all of its customers.
Article 4: Customer data and responsibilities of parties
Customers have the right to fully use the software’s features during the subscription period.
For customers who have registered and paid for usage, they will be given an account to use and store customer data.
Customer data is any information that a customer submits, uploads, transmits or by any means makes that information visible on the customer’s account. That data includes: member profiles, messages, notifications, files, images, videos, opinions, comments, links, work-related content and all information displayed on the customer’s account;
Customer data includes all information, links, and text that customers and their user accounts enter through cloud storage platforms such as Google Drive, OneDrive, DropBox.
The customer is the owner and has full control over access to data posted on the customer’s system account. Customer assumes all responsibility for all data submitted to and/or sent by the customer or its user account.
Customers understand that Mekong connector does not own any data that customers upload except documents and or instructional interfaces that Mekong connector actively provides publicly to customers.
Deciding what data to include in the software is at the sole discretion of the customer. However, the following content will NOT BE ALLOWED to be uploaded to the software:
– Harm, annoy others or cause damage to people and property
– Involves publishing information or documents that are fraudulent, defamatory, harassing or obscene.
– Invading privacy rights or discriminating against race, religion, gender, or disability.
– Infringement of intellectual property rights or other proprietary rights.
– Obstruct or damage the software/system
Mekong connector reserves the right to disable access to customer data content if we determine that the data was accessed in violation of these Terms, or we receive a complaint from the user account, or Notification of intellectual property violations and/or notification of content showing signs of violating the law by competent authorities
Customers commit not to interfere technically in the software system
Provide complete, consistent and timely information and content for Mekong Connector to build and initiate software for customers and take full responsibility before the law for the information and content. show.
When the expiration date of the Mekong Connect software is near, it is responsible for notifying customers as follows:
– Within 30 days before expiration date: notify customers of the remaining software usage term and guide customers on renewal procedures
– Within 07 days after the expiration date: notify the customer that the software has expired, warn the customer that if the expiration date is more than 07 days, the customer can no longer use the software and instruct the customer extension procedures;
– After 30 days, Mekong Connector will terminate the right to use the software and delete the customer’s data.
Article 5: Price and payment method
The customer is responsible for paying 100% of the value of the product/service package that the customer orders after the customer sends an order request to Mekong connector.
The time to start charging the usage fee is calculated from the date Mekong connector hands over to the customer information to access the software based on Mekong connector’s notification email.
Payment of the service fee for the next period must be made before the expiration date of the previous service period. Mekong connector will send a notice about payment of service renewal fee that the customer is using.
Mekong connector has the right to adjust service fees according to market prices and will notify customers before using the service. In case the customer has pre-paid the usage fee for multiple periods, the usage fee will not change throughout the term for which the customer has paid.
Customers are responsible for paying Mekong connector by cash, bank transfer or online payment through a bank or third payment partner.
Mekong connector will issue and send invoices based on the information provided after receiving 100% of the customer’s payment package value according to Mekong connector’s invoice issuance regulations.
Article 6: Handover of products and services
Mekong connector is responsible for handing over the right to use the software to the customer within 24 working hours after the customer completes the payment obligation to Mekong connector.
Customers are responsible for fully preparing equipment, human resources and transmission lines according to Mekong Connector’s recommendations written in the software to organize and operate the software system.
Customers are responsible for receiving and using the software according to the instructions and usage recommendations of Mekong Connector published in the software.
Article 7: Consulting and customer support
Mekong connector is responsible for providing consulting and support services to customers throughout the process of using the software through consulting and customer support channels such as email, hotline, etc.
We always support you completely free of charge (You only have to pay phone charges) via hotline every day of the week.
Customers actively view and exploit software usage documentation located on Mekong Connector’s website or accompanying documents when Mekong Connector hands over usage rights to customers.
When using hotline consulting services, customers agree to pay phone/service fees according to the regulations of the telecommunications service provider (if any).
Consulting and support services through other forms (such as consulting and support services at locations requested by customers, user manual retraining services for customers) will be agreed upon by both parties. about costs and methods of provision in additional documents when required.
Article 8: Warranty and maintenance
Mekong connector is responsible for ensuring technical conditions so that customers can use the software 24 hours/day and 7 days/week except for system maintenance, upgrades, and troubleshooting times. System downtime for maintenance, upgrades or backups will be notified to customers in advance by Mekong connector. Maintenance or upgrade or backup schedules will be performed daily or weekly or monthly or yearly and prioritized at night when the system is least used.
Mekong connector is responsible for troubleshooting the system no later than 8 working hours after receiving the request from the customer’s user.
Customer agrees to accept all patches, bug fixes, upgrades, and maintenance necessary for the service’s features to operate correctly and to ensure the security of the service. Except in emergency cases, Mekong connector will notify customers in advance of the schedule of these error correction and upgrade activities.
Article 9: Software and data copyright
Mekong Connector is the owner and copyright holder of the software that Mekong Connector provides
Customers have the right to use the software to create data to serve the unit’s work and have the right to download the data entered by the unit itself into the system during the software subscription period.
Customer agrees that the product/service, including and not limited to the following contents: user interface, audio clips, video clips, user manual content and software used to perform Currently, the product/service is owned by Mekong Connector and is protected by laws on intellectual property and copyright. Customer agrees not to use such proprietary information or documents in any way except for the purpose of using products/services under this agreement. No part of the products/services may be reproduced in any form or by any means, except as expressly permitted by these terms. Use of the software or any portion of the product/service, unless use of the product/service is permitted under this agreement, is strictly prohibited and infringes the intellectual property rights of Other people and customers may be subject to sanctions in accordance with administrative, criminal, and civil laws, including compensation for monetary damages, for copyright infringement.
In order for Mekong Connector to be able to provide software services to customers, customers agree to give Mekong Connector the right to process and transmit customer data.
Article 10: Information/notification
During the process of using the software, customers agree to receive information/notifications sent by Mekong connector with the following content and method:
– The content of notifications includes and is not limited to the following types of information:
+ Information about new product features
+ Information about new versions of products
+ Information about related products
+ Information about the content of articles or newsletters that Mekong connector believes may be useful to customers during operations
– Methods of sending notifications include and are not limited to the following forms:
+ Notification directly on the product screen
+ Notification via email
+ Notification via text message on mobile phone
+ Notification via phone
+ Notification via text
+ Notify by meeting directly
+ Other forms of notification
Article 11. Limitation of Liability and Performance of Services
Mekong connector tries to ensure technical conditions so that customers can use the software 24 hours/day and 7 days/week but does not guarantee, represent, or warrant that customers’ use of the product/service will be uninterrupted or error-free, or the product/service will meet customer requirements, or all errors in the software and/or documentation will be corrected, or the overall system will ensure the operation of the product Software products/services (including but not limited to: the internet, other transmission networks, internal networks and customer devices) will be free of viruses or harmful components.
In no event shall Mekong connector be liable for any direct, indirect, incidental, special, consequential or punitive damages, including but not limited to damages due to loss of revenue, profit, business advantage, work stoppage, loss of data as a result of:
– The use or inability to use the product/service;
– Any changes made to the product/service;
– Unauthorized access or alteration of data;
– Deletion, corruption, or failure to store data contained on or through the product/service;
– Statements or actions of any third party regarding the product/service;
– Any force majeure issues specified below
Article 12: Force majeure
In case of force majeure, both parties are not obliged to perform their responsibilities in this agreement. The two sides agreed to consider the following cases as force majeure
– Natural disasters or enemy sabotages cause obstruction or destruction, blockage or stop connection to Mekong connector’s data center.
– Large-scale power outages; Telecommunication cable breakage causes blockage or interruption of telecommunications and Internet connections to Mekong connector’s data center
– Hackers and computer viruses attack Mekong Connector’s data center, causing disruption, blockage or destruction of software and data.
– Technical errors are beyond the control of the parties to the contract and directly affect the implementation of this contract.
– Other force majeure events as prescribed by law
Article 13: Liquidation and contract termination
Either party violates the terms of the contract or requests in writing to terminate this contract. In case either party violates the terms of the contract, the other party has the right to unilaterally terminate this contract.
After the parties fully complete their committed obligations, the contract is automatically liquidated
Economic contracts are suspended, canceled, and legal entities are dissolved
Final settlement when liquidating the contract
Mekong connector has no obligation to refund any costs that the customer has paid in case of termination of the agreement in the above cases. Mekong connector is only responsible for ensuring that customer data is maintained on the system for a maximum of 30 days from the date of termination of the agreement.
